Payment and Billing Policy

Updated: 19 October 2026

This policy governs the payment methods, invoicing and financial obligations in connection with the paid software subscriptions and, where applicable, separately ordered setup services of the CXR App platform. It does not concern the payments that your end customers make to you.

CXR App is offered and operated by Visual Memory Works GmbH (“VMW”), Elbestraße 10, 45768 Marl, Germany. VMW is the seller of the paid services and your contact for billing, payment processing and support.

The services of the platform may be offered to users in different countries. Payment and invoicing processes may therefore be structured differently depending on the user’s country and the applicable law.

PRICING

The paid services on the platform may be priced through subscription packages, module-based usage or models that depend on transaction volume. Current prices and package contents are shown on the platform.

VMW reserves the right to change prices. Price changes may apply to new subscriptions or to the renewal periods of existing subscriptions. For a current, already paid subscription period, the agreed price remains unaffected.

The subscription fee and the fee for an optional setup are separate fees: the subscription fee is charged for the respective period, the setup fee once for the respective setup service. Automatic renewal applies only to the subscription.

CURRENCY AND INTERNATIONAL PAYMENTS

Payments may be collected in the currencies indicated on the platform. For international payments, exchange rate differences and transaction fees charged by banks or payment service providers may apply and may have to be borne by you, to the extent permitted by law.

PAYMENT METHODS

Electronic payment methods may be used for the services offered through the platform. Payment transactions may be processed through payment service providers engaged by VMW.

Payments to VMW (subscription, optional setup and other services) are processed through Stripe. The payment methods are credit card, PayPal and SEPA Direct Debit, depending on the account and transaction type. A payment method is offered only where it is available for the respective account and shown in the checkout process.

For payment methods such as SEPA Direct Debit, a mandate from you is required, and the result of the payment may be available only after some time; until then, the payment is considered pending.

Stripe processes payment data for processing on behalf of its business customers and may also be an independent controller for its own purposes, which Stripe describes in its privacy notices.

To process payments for the CXR subscription and, where applicable, the setup, we process information such as transaction ID, amount, currency, payment and refund status, and invoicing data. Full card numbers and comparable payment instrument data are intended to be collected directly by the payment service provider and not stored on VMW’s systems. The data protection role of the payment service provider is not the same for every transaction. You will find more details in the Privacy Policy.

PAYMENTS FROM YOUR END CUSTOMERS TO YOU

If you sell your own products or services to your end customers through the platform, you are the seller and contracting party. Payments that your end customers make to you are to be considered separately from the payment of the CXR subscription and an optional setup and are not the subject of this policy.

Where the respective product provides for it, VMW makes technical infrastructure and support with integration available for this purpose. Accepting online payments for your own sales requires that the respective payment service provider accepts and verifies you as a merchant and that a suitable contract and account model is in place. Which payment methods are available for this depends on the payment service provider, your account and the integration; the payment methods used for payments to VMW do not automatically apply to this.

This text does not fix commissions, payout periods or a model for holding or distributing funds, and does not promise that a payment service provider will accept you as a merchant. Cancellations, refunds and rights of withdrawal arising from your own sales are governed by your own terms and the statutory provisions applicable to you; you are responsible for these. VMW’s technical services and its data protection obligations, in particular as a processor for the data of your end customers, are governed by the privacy notices and do not replace your obligations as a seller.

INVOICING

For paid services, VMW issues invoices in accordance with the applicable statutory provisions. Invoices are prepared on the basis of the business or personal details you have stored in your account data.

Invoices may be prepared taking into account the tax rules that apply according to your country. For customers in countries of the European Union, the treatment of value added tax (USt/VAT) may differ depending on the country and status. You are responsible for ensuring that your invoicing details are correct and up to date.

AUTOMATIC RENEWAL AND COLLECTION OF PAYMENT

Subscriptions may renew automatically under the conditions of the respective package. The fee applicable to the renewal period may be collected through your stored payment method.

For subscriptions with automatic renewal, you acknowledge that the fee for the new period may be collected if you do not cancel before the renewal date. Further details are governed by the document “Subscription, Renewal, Cancellation and Refund Policy”.

LATE PAYMENT AND RESTRICTION OF THE SERVICE

If a payment fails, is delayed or cannot be collected, VMW reserves the right, within the framework of statutory requirements,

  • to temporarily suspend access to the affected services,
  • to terminate the subscription, and/or
  • to restrict the affected account.

TAXES AND FINANCIAL OBLIGATIONS

Taxes applicable to the fees are governed by the applicable statutory provisions. Depending on the country in which you are resident, you may be responsible for taxes, duties or comparable financial obligations that arise there.

CHANGES

This policy may be amended due to changes in the payment infrastructure, tax practice or the legal situation. The current text applies from the day of publication.
